Aurobindo Pharma to Transfer Russian Subsidiary to Another Group Entity for Rs 29 Crore

The decision was approved by the board of directors of Aurobindo Pharma and the respective subsidiary companies at their meetings held on November 4, 2026.

Auro Pharma LLC is currently a step-down subsidiary of Aurobindo Pharma, with Auroactive Pharma Private Limited, a wholly owned subsidiary of the company, holding a 100% stake in the Russian entity. Following the proposed transfer, the entire shareholding will be transferred to Auropharm Overseas Limited, another wholly owned subsidiary of Aurobindo Pharma.

The proposed transaction is part of an internal reorganisation exercise aimed at streamlining the group’s holdings in its Russian subsidiary. The transfer will involve a cash consideration of approximately Rs 29 crore, subject to adjustments as mutually agreed between the parties as of the date of transfer. The transaction is expected to be completed within 60 to 90 days, subject to customary corporate and transfer formalities.

Aurobindo Pharma clarified that Auro Pharma LLC, Auroactive Pharma Private Limited and Auropharm Overseas Limited are wholly owned subsidiaries, directly or indirectly, of the company and are related parties to each other. The transaction will be undertaken at an arm’s length price. Since the proposed transaction is between two wholly owned subsidiaries of Aurobindo Pharma, it is exempt from the applicability of Regulations 23(2), 23(3) and 23(4) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

According to the regulatory filing, Auro Pharma LLC and Auropharm Overseas Limited reported nil turnover for the financial year ended March 31, 2026, while Auroactive Pharma Private Limited reported a turnover of Rs 701.3 million during the same period.

Auro Pharma LLC was incorporated on July 24, 2023, in Russia and is engaged in the manufacturing and marketing of pharmaceutical products. The entity reported nil turnover in each of the last three financial years, namely FY 2023-24, FY 2024-25 and FY 2025-26. The company further stated that no governmental or regulatory approvals are required for the proposed transaction.

Aurobindo Pharma Limited is a Hyderabad-based pharmaceutical company engaged in the development, manufacturing and marketing of pharmaceutical products and active pharmaceutical ingredients (APIs). The company has a presence across domestic and international markets and operates in various pharmaceutical segments.
