NCLT Approves Bajaj Healthcare's Acquisition of Genrx Pharmaceuticals as Going Concern
Thane: The National Company Law Tribunal (NCLT), Mumbai Bench, has approved Bajaj Healthcare Limited's acquisition of Genrx Pharmaceuticals Private Limited, which is undergoing liquidation, on a going concern basis.
The approval was granted through an order dated October 13, 2026, according to a regulatory communication submitted by Bajaj Healthcare on October 14, 2026. The development follows Bajaj Healthcare’s earlier disclosures dated April 5, 2025, and April 7, 2025, concerning the acquisition of Genrx Pharmaceuticals Private Limited.
Bajaj Healthcare had filed an application before the NCLT, Mumbai Bench, seeking approval to acquire Genrx Pharmaceuticals, which was in liquidation, on a going concern basis. The tribunal subsequently approved the acquisition through its order dated October 13, 2026. The company downloaded the order from the official NCLT website on the same date.
According to the regulatory filing, the order will remain effective from October 13, 2026, until any further orders or directions are issued by the tribunal. Genrx Pharmaceuticals Private Limited will become a wholly owned subsidiary of Bajaj Healthcare Limited, subject to the implementation of the terms specified in the NCLT order. The company has stated that it will take the necessary actions in accordance with the tribunal’s directions.
The filing does not specify the acquisition consideration or provide additional financial details regarding the transaction. It also does not disclose a separate completion timeline beyond the implementation of the terms contained in the NCLT order.
In the accompanying disclosure under Regulation 30(13) of the SEBI Listing Regulations, Bajaj Healthcare identified the NCLT order dated October 13, 2026, as the communication received from the judicial authority. The disclosure states that details of any aberrations or non-compliances identified by the authority were not applicable. Details of any penalty, restriction or sanction imposed pursuant to the communication were also marked as not applicable. The company further stated that there was no other relevant information to report in connection with the order.
Bajaj Healthcare also stated that the trading window for dealing in the company’s securities would continue to remain closed for all designated persons, including their immediate relatives. The restriction is being maintained under the SEBI (Prohibition of Insider Trading) Regulations, 2015, as amended, and the company’s internal procedures and code of conduct for regulating, monitoring and reporting securities trading. The company referred to its earlier disclosure dated September 23, 2026, regarding the trading-window restriction.
