Zydus Lifesciences Acquires France-Based Aptitude Orthopedie

Ahmedabad: Zydus Lifesciences Limited has announced the acquisition of 100% share capital of France-based Aptitude Orthopedie through its indirect wholly owned subsidiary Amplitude SAS, strengthening its presence in the medical equipment distribution segment.

The acquisition has been completed on April 30, 2026, and involves a cash consideration of Euro 360,000 for the entire share capital of the target entity.

Aptitude Orthopedie, a simplified joint stock company headquartered in Betton, France, operates in the distribution of medical equipment. The company has an authorised and paid-up share capital of Euro 5,000 divided into 5,000 equity shares of Euro 1 each. Its turnover stood at Euro 364,000 as per audited financial statements for the year ending June 30, 2025.

The acquisition does not fall under related party transactions, and none of the promoters or group companies of Zydus Lifesciences have any interest in the target entity. The company clarified that no regulatory approvals were required for the completion of this transaction.

The primary objective behind the acquisition is to internalize commercial capabilities that were previously outsourced to third-party sales agents. By integrating Aptitude Orthopedie, Amplitude SAS aims to eliminate recurring commission and business development fees, thereby reducing long-term selling and distribution costs.

According to Zydus Lifesciences Limited, the move is expected to enhance operational efficiency and strengthen its commercial infrastructure in the European market.

Founded in 2016, Aptitude Orthopedie has been engaged in distribution operations under an exclusive commercial agency agreement with Amplitude in select French regions. The company reported turnover of Euro 380,000 in FY2024 and Euro 131,000 in FY2023, reflecting steady business growth over recent years.
