Akums Arm to Acquire Oriflame India's Manufacturing Facilities for Rs 56 Crore

New Delhi: Akums Drugs and Pharmaceuticals Limited has announced that its wholly owned subsidiary, Pure and Cure Healthcare Private Limited, has approved the acquisition of Oriflame India Private Limited's manufacturing business for a total consideration of Rs 56 crore.
The transaction includes the acquisition of two manufacturing plants located at Roorkee, Uttarakhand, and Noida, Uttar Pradesh, along with a leased warehouse in Noida. Akums stated that the acquisition marks its entry into the colour cosmetics segment while significantly expanding its presence in the skincare and wellness products business.
The company clarified that the trademark and marketing rights for Oriflame products in India are not part of the transaction. The acquisition is limited to the manufacturing business and related facilities, while Oriflame India will continue to retain ownership of its trademarks and product marketing operations.
Akums said the acquisition is aimed at strengthening its manufacturing capabilities in the cosmetics and wellness segment for both Indian and global markets. The company believes the addition of the manufacturing facilities will enhance its production capacity and support the expansion of its contract manufacturing business in the fast-growing cosmetics sector.
The acquisition does not constitute a related-party transaction, and neither the promoters nor the promoter group companies have any interest in the manufacturing business being acquired. As no entity is being acquired, provisions relating to shareholding acquisition are not applicable. The company also stated that no prior governmental or regulatory approvals are required for the transaction.
The acquisition will be completed through cash consideration of ₹56 crore, with completion expected by August 31, 2026. Akums stated that the transaction will enable it to strengthen its capabilities in cosmetic and wellness product manufacturing while complementing its existing pharmaceutical manufacturing business.
