Mankind Pharma Buys Remaining 10% Stake in Upakarma Ayurveda for Rs 75 Lakh

New Delhi: Mankind Pharma has completed the acquisition of the remaining 10 per cent stake in Upakarma Ayurveda Private Limited through its wholly owned subsidiary Mankind Lifesciences Private Limited (MLS), making Upakarma a wholly owned subsidiary of MLS and a step-down wholly owned subsidiary of Mankind Pharma.
According to the company’s regulatory filing, MLS, which already held a 90 per cent stake in Upakarma Ayurveda, acquired the balance 10 per cent shareholding from Kaushcorp Media LLP through a Share Purchase Agreement dated June 2, 2026.
The acquisition has been classified as a related party transaction and has been carried out on an arm’s length basis. The company clarified that its promoters and promoter group do not have any interest in the acquisition.
Mankind Pharma stated that the acquisition will help achieve better operational efficiencies through streamlined processes. No governmental or regulatory approvals were required for completion of the transaction.
The company acquired the remaining stake for a cash consideration of Rs 75 lakh, payable in two tranches as per the terms of the Share Purchase Agreement. Following completion of the transaction, MLS now holds 100 per cent ownership of Upakarma Ayurveda.
Upakarma Ayurveda operates in the ayurvedic, herbal and nutraceutical products segment. The company has an authorised share capital of Rs 2 crore and a paid-up share capital of Rs 1.80 crore. Its turnover stood at Rs 18.02 crore during FY26.
Incorporated on November 28, 2017, Upakarma is engaged in the trading and sale of ayurvedic, herbal and nutraceutical products and has business operations in India. The company became a step-down subsidiary of Mankind Pharma on November 9, 2022.
According to the filing, Upakarma reported turnover of Rs 23.04 crore in FY24, Rs 13.06 crore in FY25 and Rs 18.02 crore in FY26
