NATCO Pharma Completes Rs 1,060 Crore Adcock Ingram Stake Acquisition

New Delhi: NATCO Pharma Limited has completed the acquisition of an additional 13.25% equity stake in South Africa-based pharmaceutical and healthcare company Adcock Ingram Holdings Proprietary Limited, increasing its total shareholding from 35.75% to 49%.
The acquisition was carried out through NATCO Pharma South Africa Proprietary Limited, the company's wholly owned subsidiary in South Africa. The transaction involved an aggregate consideration of approximately ZAR 1.81 billion (around ₹1,060 crore) based on the applicable exchange rate.
The latest acquisition marks another milestone in NATCO Pharma's long-term strategy to strengthen its presence in the African pharmaceutical market.
NATCO initially acquired a 35.75% stake in Adcock Ingram through the company's delisting process in 2025, following the announcement of a firm intention offer in July 2025, shareholder approval in October 2025, and completion of the transaction in November 2025.
Subsequently, NATCO's Board approved the acquisition of an additional 13.25% stake in July 2026. The transaction has now been completed after fulfilling all customary closing conditions and obtaining the required regulatory approvals.

Founded in 1981, NATCO Pharma is a publicly listed pharmaceutical company on the Bombay Stock Exchange (BSE) and the National Stock Exchange (NSE). The company focuses on the development and manufacture of specialty pharmaceutical products across therapeutic areas such as oncology, cardiology and neurology.
NATCO operates nine manufacturing facilities approved by global regulatory authorities, including the US Food and Drug Administration (USFDA), Brazil's ANVISA, Health Canada and the World Health Organization (WHO). The company exports pharmaceutical products to more than 50 countries, including the United States, Brazil and Canada.
