Warburg Pincus Takes Over Integrace in Rs 1,200 Crore Deal, True North and Temasek Exit

Mumbai: Global private equity firm Warburg Pincus has acquired Mumbai-based pharmaceutical company Integrace Private Limited in a deal valued at approximately Rs 1,200 crore, strengthening its footprint in India's fast-growing pharmaceutical sector.
The transaction marks the complete exit of existing investors True North and Temasek Holdings, who had backed the company during its expansion phase.
Integrace has established itself as a leading domestic formulations company with a strong presence in the orthopedics and gynecology therapeutic segments. The company has built a portfolio of established brands serving the Indian pharmaceutical market and has expanded its business through strategic acquisitions over the years.
As part of the acquisition, industry veteran Rehan Khan has been appointed as the Chief Executive Officer (CEO) of Integrace. Khan, who has previously held leadership positions at MSD and Abbott India, will lead the company’s next phase of growth under Warburg Pincus’ ownership, with a focus on strengthening its specialty formulations business and expanding its market presence.
Integrace has significantly enhanced its product portfolio in recent years through strategic acquisitions. The company acquired Glenmark Pharmaceuticals’ gynecology, orthopedics, and pain management business, along with leading brands such as Mifegest and Cytolog from Zydus Healthcare, further reinforcing its position in women’s healthcare and specialty therapeutic segments.
The acquisition reflects Warburg Pincus’ continued confidence in India’s healthcare and pharmaceutical industry. The investment is expected to support Integrace’s future expansion plans, accelerate portfolio growth, and strengthen its presence across key therapeutic areas in the domestic pharmaceutical market.
According to a recent media report in The Economic Times, the transaction concludes months of negotiations and transfers complete ownership of Integrace to Warburg Pincus, positioning the company for its next phase of growth under new leadership
