Emcure Pharma to Consolidate Operations by Merging Arms Zuventus, Emcutix
Pune: Emcure Pharmaceuticals Limited has approved the draft Composite Scheme of Amalgamation for merging its wholly owned subsidiaries Zuventus Healthcare Limited and Emcutix Biopharmaceuticals Limited with Emcure Pharmaceuticals Limited, subject to the necessary statutory and regulatory approvals.
The decision was taken at the Board meeting held on October 12, 2026, under the applicable provisions of the Companies Act, 2013. The proposed amalgamation involves Zuventus Healthcare and Emcutix Biopharmaceuticals as the transferor companies and Emcure Pharmaceuticals as the transferee company. The scheme is proposed under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013.
The proposed scheme remains subject to the required statutory and regulatory approvals, including approval from the National Company Law Tribunal (NCLT), Mumbai Bench.
According to the company’s disclosure, Zuventus Healthcare Limited had a net worth of Rs 871.46 crore as of March 31, 2026, while its turnover for FY 2025-26 stood at Rs 1,040.58 crore. Emcutix Biopharmaceuticals Limited reported a net worth of negative Rs 13.07 crore and turnover of Rs 29.37 crore for the same period. Emcure Pharmaceuticals had a net worth of Rs 3,710.60 crore as of March 31, 2026, with turnover of Rs 5,243.19 crore for FY 2025-26.
All three entities operate in the pharmaceutical business. Emcure Pharmaceuticals is the holding company, while Zuventus Healthcare and Emcutix Biopharmaceuticals are its wholly owned subsidiaries forming part of the proposed amalgamation.
The company stated that the proposed amalgamation is intended to achieve entity rationalisation and operational efficiency within the group. As both transferor companies are wholly owned subsidiaries of Emcure, the scheme involves amalgamation of wholly owned subsidiary companies with their holding company.
The transaction will not involve any cash consideration. Since the entire share capital of the transferor companies is already held by Emcure Pharmaceuticals, no shares will be issued pursuant to the proposed scheme.
There will also be no change in the shareholding pattern of Emcure Pharmaceuticals as a result of the proposed amalgamation, as no shares will be issued as consideration. The scheme is exempted from the related-party transaction requirements under Regulation 23(5)(b) of the SEBI Listing Regulations, as it involves the amalgamation of wholly owned subsidiaries with the holding company.
The proposed amalgamation will proceed after obtaining the necessary statutory and regulatory approvals, including the approval of the NCLT Mumbai Bench.
