Marksans Pharma to Acquire Germany's ABCnow GmbH to Strengthen EU Market Presence
New Delhi: Marksans Pharma Limited has entered into a definitive agreement to acquire 100% of the share capital of ABCnow GmbH, a Germany-based pharmaceutical company with front-end sales, marketing and distribution capabilities across the German healthcare market, in a strategic move to strengthen its presence in regulated European markets and enhance its forward integration strategy.
The company disclosed the acquisition under Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, stating that the transaction will provide Marksans with direct, owned market-access capabilities in the European Union.
According to the filing, ABCnow GmbH is a pharmaceutical wholesale and distribution company headquartered in Flensburg, Germany, primarily engaged in the marketing and distribution of over-the-counter (OTC) products in Germany. The company reported a turnover of €227,233.69 as on December 31, 2025.
Marksans Pharma clarified that the transaction does not qualify as a related-party transaction, as the shareholders of ABCnow GmbH are not related parties to the company. It further stated that neither the company's promoters nor the promoter group has any interest in ABCnow GmbH.
The acquisition is expected to enable Marksans Pharma to leverage ABCnow's front-end sales and marketing infrastructure for promoting pharmaceutical products manufactured by the company across its India, United Kingdom and United States operations. The company said the acquisition will strengthen its footprint in regulated European markets by creating its own front-end marketing and distribution platform in Germany.
The company also informed that no governmental or regulatory approvals are required for the acquisition. The transaction is expected to be completed by July 31, 2026.
Marksans Pharma will acquire the entire shareholding of ABCnow GmbH through cash consideration amounting to €892,384, resulting in the acquisition of 100% ownership of the German company. The filing further states that ABCnow GmbH was incorporated in 2023 and has established a capable team to support pharmaceutical marketing and distribution activities in Germany. The company generated revenue of €510,215.60 in 2024 and €227,233.69 in 2025. Marksans believes the acquisition presents an attractive opportunity to gain direct access to the German pharmaceutical market while supporting its long-term growth strategy in Europe.
