Glenmark USA Agrees to USD 15.28 Mn Settlement With Humana Over Generic Drug Antitrust Claims

Mumbai: Glenmark Pharmaceuticals Limited's U.S. subsidiary, Glenmark Pharmaceuticals Inc., USA (Glenmark USA), has agreed to a USD15.28 million (approximately USD15,285,369) settlement with Humana Inc., including interest, to resolve litigation alleging price-fixing, market allocation and other anti-competitive conduct involving generic pharmaceutical products in the United States.
Glenmark Pharmaceuticals disclosed the settlement on August 11, 2026, pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended. The company stated that it and its subsidiaries are involved in legal proceedings that arise in the normal course of business and that such matters are often resolved through settlement agreements with plaintiffs.
The litigation against Glenmark USA relates to multiple antitrust and consumer protection lawsuits, including class actions, that were consolidated in the Eastern District of Pennsylvania, United States. The cases concern allegations that Glenmark USA, along with other manufacturers and suppliers of generic pharmaceutical products, engaged in price-fixing, market allocation and related anti-competitive conduct.
According to the company, Glenmark USA has been named in more than 35 complaints since 2016, with the lawsuits alleging violations of federal antitrust laws in connection with the pricing of pharmaceutical products. The plaintiffs include classes representing direct purchasers, end-payers and indirect purchasers of generic drugs, along with numerous private direct-action plaintiffs and 46 state attorneys general.
Three complaints filed by Humana Inc. were also included in the consolidated litigation. The plaintiffs, including Humana, alleged both individual drug-specific conspiracies and an “overarching” conspiracy involving numerous generic drug manufacturers in the United States.
Glenmark USA and the other defendants have denied the allegations and have vigorously defended the litigation. The company has maintained that the allegations against its U.S. subsidiary were disputed.
With the objective of resolving the dispute and avoiding continued uncertainty, Glenmark USA has agreed to settle with Humana for a total amount of $15.28 million ($15,285,369), including interest. The settlement amount will be paid in two instalments.
Glenmark specifically stated that the settlement agreement makes clear that Glenmark USA denies each and every allegation made against it. The settlement does not constitute any concession or admission of liability, wrongdoing or illegality by Glenmark USA.
The company further stated that the full amount payable under the settlement agreements has already been provided for in its financials. As a result, the settlement is not expected to have a significant impact on Glenmark Pharmaceuticals' financial position.
The settlement therefore resolves Glenmark USA's dispute with Humana arising from the broader U.S. antitrust litigation, while Glenmark continues to deny the allegations and has made clear that the settlement should not be construed as an admission of liability, wrongdoing or illegality. The company has already accounted for the full settlement amount in its financials and stated that the agreement will not have a significant impact on its financial position.
